1. Acceptance of Terms
By creating an UpStar account or otherwise accessing the UpStar platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. The Service
UpStar Tech Pte. Ltd. ("UpStar", "we", "us") operates a skill intelligence and matching platform that connects technology talent with employers. Features include the Skill Wallet, AI-powered matching, verification workflows, and curated outreach.
3. Eligibility & Accounts
You must be at least 18 years old and legally able to enter into contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Acceptable Use
You agree not to (a) misrepresent your identity, skills, or experience; (b) scrape or copy other users' data; (c) attempt to circumvent verification or matching logic; (d) use the Service for unlawful, discriminatory, or harassing purposes.
5. Talent & Employer Roles
Talent users authorize UpStar to share their Skill Wallet information with potential employers for the purpose of role matching. Employer users agree to use information provided through the Service solely for legitimate hiring purposes and in compliance with applicable employment law.
6. Intellectual Property
UpStar retains all rights in the Service, including software, models, and aggregated insights. You retain rights to the content you submit and grant UpStar a non-exclusive license to host, process, and display it for the purpose of operating the Service.
7. Disclaimers
The Service is provided "as is" without warranties of any kind. We do not guarantee employment outcomes, the accuracy of any candidate or employer information, or uninterrupted availability.
8. Limitation of Liability
To the maximum extent permitted by law, UpStar shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
9. Termination
We may suspend or terminate your account for breach of these Terms. You may close your account at any time by contacting support.
10. Changes
We may update these Terms. Material changes will be communicated via email or in-product notice and may require renewed acceptance.
11. Governing Law
These Terms are governed by the laws of Singapore. Disputes shall be resolved in the courts of Singapore, except where local law requires otherwise.
